LICENSE AGREEMENT

THIS LICENSE AGREEMENT IS ELECTRONICALLY ENTERED INTO BETWEEN MUSICTOUSE APS, NYHAVN 16, DK-1051 COPENHAGEN K, DENMARK, COMPANY REG. NO. DK-33967403 (HEREINAFTER CALLED "MUSICTOUSE") AND YOU AS A PROFESSIONAL PRODUCER (HEREINAFTER CALLED "THE PRODUCER").

BY CLICKING "I ACCEPT" ON THE BUTTON BELOW YOU ACCEPT THE TERMS AND CONDITIONS SET FORTH HEREIN AS LEGALLY BINDING FOR YOU AS PRODUCER. YOU REPRESENT AND WARRANT THAT YOU HAVE FULL LEGAL AUTHORITY TO ACT LEGALLY BINDING FOR THE ENTITY BEING THE PRODUCER.

THIS LICENSE AGREEMENT IS ONLY FOR BUSINESS PURPOSES, AND MUSICTOUSE'S SERVICES ARE ONLY PROVIDED AS BUSINESS-TO-BUSINESS. MUSICTOUSE IS NOT ENTERING INTO AGREEMENT WITH CONSUMERS.


SCOPE OF THE AGREEMENT

This License Agreement (Hereinafter called "the Agreement") sets forth

  • Terms and conditions for the Producer's access to the musical works/recordings (Hereinafter called "the Works") offered at www.musictouse.com (hereinafter called "the Website")

  • Terms and condition for obtaining a "Basic License", a "Premium License or an "Exclusive License" to a Work, and

  • License terms and conditions for exploitation of the Work in audiovisual productions (hereinafter called "AV-productions") and/or in radio commercials.


REGISTERING – PRODUCER'S IDENTITY AND INFORMATION

To gain access to the Works made available on the Website, the Producer must fill in the registration form on the Website, see http://musictouse.com/signup/.

It is mandatory that the Producer provides all information as required and performs all the registrations that MusicToUse requires, and that all information is exact, precise and sufficient/exhaustive. If MusicToUse finds that registrations and information is inexact, insufficient or might be incorrect, MusicToUse will contact the Producer for changes or corrections. If MusicToUse is not obtaining satisfying and sufficient registration information, MusicToUse will reject to give access for the Producer to the Works.

Is the Producer's registration satisfying, the Producer gains access to

   1) Downloading one or several Works from the Web Site to use for The Producer's evaluation of, whether the Producer wants to exploit the Work/Works, cf. the section Trial-license below.

   2) to order and buy, cf. the section Ordering and Payment below, a "Basic License", "Premium License" or (as goes for special marked Works) an "Exclusive License" to exploit a Work, cf. the section Licenses and License conditions below.

   3) to do reporting of the exploitation of the licensed Work(s) on the Website reporting form.

If the Producer is producing an AV-production or a radio commercial for another business legal entity (the Producer's Customer - a third party), The Producer must in the registration form explicit register information about the Customer in connection with the license buy. In that case the Producer obtains permission to synchronize the said Work in the Customer's AV-production and/or exploit the Work in the Customer's Audio-only-production. The Producer is responsible and liable for the Customer's full and continuous compliance with and respect of the terms and conditions set forth in the license, including all reporting regarding the Customer's exploitation of the AV-production and/or Radio commercial spot. If the Producer has obtained a license on behalf of his Customer, it is prohibited for the Producer to exploit the license in the Producer's own AV-productions and/or Radio commercial spots.


TRIAL LICENSE

Registered Producers can – besides listening to the Works accessible for streaming from the Website download one or several Works on "trial license". By trial license means that the Producer obtains right to listening internally in own organization for evaluation an preliminary handling/changing of Works, to identify and chose the Works that The Producer wishes to exploit for synchronization (combined with moving pictures/AV-production), or exploit in a radio commercial.

The Trial license only permits exploitation strictly internal for The Producer and only for research and evaluation of Works as a basis for decision of the choice of whether the Producer wishes to exploit the Work for synchronization / radio commercial spot or not. When the Producer has made his choice, the Producer must either obtain a license for the Work or delete the Work, as well as any changed versions hereof,


ORDERING AND PAYMENT

At The Producer's buying (ordering) of a "Basic", Premium" or Exclusive" license, The Producer pays the price stated at the Web Site's price list (see further details at the Website in top menu under "PRICES")..

MusicToUse sends an order confirmation to the e-mail address registered by The Producer. The order confirmation contains information about the bought, e.g. type of license, price etc.

The amount (the license price) is drawn immediately at every buy from The Producer's bank account via the Producer's credit- or payment card.

MusicToUse accepts the following credit- and payment cards:

Dankort, Visa electron, Visa, Mastercard, Maestro, JCB, American Express.

When the payment transaction is finished, the Producer obtains the rights specified in the section Licenses and license terms and conditions below.


LICENSES AND LICENSE TERMS AND CONDITIONS

General terms
For all licenses apply that the license fee / royalty payment does not meet the below stated permissions to exploit the Work. These below stated permissions must be obtained directly from Nordic Copyright Bureau (hereinafter called "NCB") or, if the Producer is domiciled in a country outside Scandinavia, from the to NCB corresponding Collective Rights Management Society (BIEM society) in the actual country:

  • Synchronization (fee) in AV-productions produced for danish TV stations as Commissioned productions for public performance/exhibiting on television (Denmark only)

  • Synchronization (fee) in AV-productions to sale/-rental to consumers of videogram (e.g. VHS, DVD, Blu-Ray etc.)

  • Transfer of an AV-production that has previously been exploited for other purposes (e.g. public performance/exhibition on TV) to a videomaster for the purpose of copying on videogram (e.g. VHS, DVD, Blu-Ray)

  • Production of copies / distribution of the AV-production on videogram and/or distribution via the Internet.

Furthermore applies for all licenses, that the royalty/fee payment does not meet permission to public performance/exhibition of the AV-production or the Radio commercial spot, as such requires permission from/royalty payment to KODA according to KODA's current rules and rates, or if the public performance/exhibition is carried out outside Denmark, from the to KODA corresponding Collective Rights Management Society in the country of public performance/exhibition.

Furthermore the Work must not be altered nor made available to the public in a manner or in a context, which is prejudicial to the author's literary or artistic reputation or individuality. The Producer must always ask for specific permission to synchronization in e.g. party political, religious or pornographic AV-productions. Should a Producer contact MusicToUse with such request, MusicToUse will attempt to gain the author's specific permission.

The producer is required to do and maintain proper and accurate reporting on the Website, according to the user interface on the Website as soon as the Producer has synchronized the Work in an AV-production or uses the Work in an actual Radio commercialspot.

The Producer's reporting at the Website does not exempt the Producer from fulfilling requirements of reporting/cuesheets to KODA/NCB or corresponding Collective Rights Management Society in contries outside Denmark.

The Producer is entitled to make adjustments to a Work, by which means adjustment of time/length, pitch, speed and remix. loops and likewise techniques and changes of the Work for the purpose of adjusting the Work to the actual AV-production or Radio commercial spot. Adjustment/change of the Work does not cause that the Producer obtains any rights to the Work (in either original or changed form) besides the in the Agreement stipulated.


Basic License
A Basic License for a Work provides the Producer a non-exclusive and non-transferable to synchronize the Work in an unlimited number of AV-productions of the following types:

  • Education and training Programmes for use in educational institutions

  • Corporate Programmes, by which mean programmes that portrait a company /a commercial business for internal use and/or external use at fairs etc. A Corporate Programme must not be about specific products or services, because such programmes are considered advertising and serving advertising purposes

  • Web-productions for public performance/exhibition (streaming) on the Producer's website(s). Web-video/-productions. The web-productions must not be about specific products or services, because such programmes are considered advertising and serving advertising purposes.

  • Short- and documentary films and teasers/trailers for promotion

  • TV-series and entertainment shows and teasers/trailers for promotion

If the Producer wants an AV-production of the above mentioned types, that is produced for a danish TV station as a commissioned production, for the purpose of public performance/exhibition on television and/or offered for sale or rental to consumers on videogram, the Producer must report the AV-production to NCB and pay the of NCB determined synchronization fee applicable.

If the Producer wants an AV-production of the above mentioned types, is copied in more than one (or a few) copy (copies), the Producer must report the AV-production to NCB and pay the of NCB determined fee for making of copies applicable.

The license period is 12 months (except from "Exclusive" 2 year period) from the time of buy, cf. the section Ordering and payment above.

The license is valid for all The Producer's AV-productions that is synchronized with the Work, during the license period, and all exploitation of the Work in Radio commercials, that the Producer creates during the license period.

After expiry of the license period, the license expires without further notice, and it is prohibited for The Producer to make further synchronization of the Work or creation of further Radio commercials, unless The Producer obtains a new license from MusicToUse.

After expiry of the license period the Producer is without geographical limitations or limitation in time permitted to exploit the specific AV-production(s) in which the Work is synchronized (before expiry of the license period) and the Audio-only-productions in which the Work is implemented (before expiry of the license period), provided that there is full and continuous payment to KODA /NCB according to the requirements in section General terms above.

A Basic License does not provide right to use the Work in radio commercials.


Premium License
A Premium License for a Work provides the Producer a non-exclusive and non-transferable right to synchronize the Work in an unlimited number of the types of AV-productions contained in a Basic License + in an unlimited number of the types of AV-productions of the following types:

  • Commercials / advertising films

  • Advertising productions for Television, internet and cinema

  • Advertising productions as AV-productions embedded in computergames (InGame) and in gaming console's closed networks (Manufacturer/Consoledependend networks) and for MMS-network

The Work may also be synchronized in corporate presentations as advertising productions, to AV-productions for promotion purposes at trade fairs and for sampling events

The Producer is also permitted to exploit the Work in Radio commercials.

If an AV-production produced for a danish TV station as a commissioned production, is used for exhibition on Television and/or for videogram sale-/rental to consumers, The Producer must pay further synchronization royalty to NCB according to NCB's standard rates. The Producer is responsible for reporting and payment of any additional synchronization royalty due to synchronization for Television and for videogram sale-/rental to consumers.

If an AV-production shall be copied in more than one (or a few) copies, the Producer must report the AV-production to NCB and pay the of NCB required copy royalty pr. copy.

The Producer may ALTERNATIVELY choose to exploit the Premium License for synchronization in one motion picture /full-length motion picture for cinema. In that case the license includes right to synchronize the Work in teasers, trailers, behind-the-scenes etc. for commercial and advertising purposes of the motion picture.

The license is valid for either one motion picture or all The Producer's own AV-productions mentioned above (except motion picture) that is synchronized with the Work, during the license period.

The license period is 12 months from the time of buy, cf. the section Ordering and payment above.

The license is valid for all The Producer's AV-productions that is synchronized with the Work, during the license period, and all exploitation of the Work in Radio commercials, that the Producer creates during the license period.

After expiry of the license period, the license expires without further notice, and it is prohibited for The Producer to make further synchronization of the Work or creation of further Radio commercials, unless The Producer obtains a new license from MusicToUse.

After expiry of the license period the Producer is without geographical limitations or limitation in time permitted to exploit the specific AV-production(s) in which the Work is synchronized (before expiry of the license period) and the Audio-only-productions in which the Work is implemented (before expiry of the license period), provided that there is full and continuous payment to KODA /NCB according to the requirements in section General terms above.


Exclusive License
The Producer can obtain an Exclusive License for certain Works marked special on the Website.

In Exclusive the license is exclusive and nontransferable for The Producer to synchronize the Work in an unlimited number of the types of AV-productions contained in a Basic License and to synchronize/ exploit in an unlimited number of Radio commercials, contained in a Premium License.

An Exclusive license implies, that MusicToUse is not entitled to offer the Work to other Producers during the license period.

Works made available by MusicToUse at the Web Site as Exclusive, have never previously been used for synchronization in an AV-production.

The license period is 24 months from the time of buy, cf. the section Ordering and payment above.

The license is valid for all The Producer's AV-productions that is synchronized with the Work, during the license period, and all exploitation of the Work in Radio commercials, that the Producer creates during the license period.

After expiry of the license period, the license expires without further notice, and it is prohibited for The Producer to make further synchronization of the Work or creation of further Radio commercials, unless The Producer obtains a new license from MusicToUse.

After expiry of the license period the Producer is without geographical limitations or limitation in time permitted to exploit the specific AV-production(s) in which the Work is synchronized (before expiry of the license period) and the Audio-only-productions in which the Work is implemented (before expiry of the license period), provided that there is full and continuous payment to KODA /NCB according to the requirements in section General terms above.


LICENSE UPGRADE FOR PREVIOUSLY OBTAINED LICENSES

A "Basic" or "Premium" license to a Work can by specific agreement with MusicToUse usually for the remains of a valid license period be upgraded to a higher/more expensive license for the remains of the license period. Upgrade to Exclusive License requires that the Work is forth marked possible as Exclusive on the Website.

On upgrade the Producer pays the difference between the price of the bought license and the upgraded license.

MusicToUse provides no warranty for upgrade possibilities, and reserves that it can be impossible or non-acceptable for MusicToUse at certain occasions.

Contact MusicToUse, if you as a Producer wants to upgrade an obtained license.


CREDITING – COMPULSORY INFORMATION

The Producer undertakes in all his AV-productions to credit the author in accordance to proper usage.

Crediting must as a minimum contain "musictouse.com – Author(s)"


MUSICTOUSE'S WARRANTIES AND LIABILITY

For all licenses yield that MusicToUse warrants that the licensed Work does not infringe third party's intellectual property rights.

If a third party might claim liability towards The Producer for the Producer's exploitation implies an infringement of third party's intellectual property rights, MusicToUse will be liable to The Producer after Danish law and precedence (excluding incidental, indirect damage) claims settled or stated by court ruling.

The Producer is obliged to inform MusicToUse immediately a such claim occurs, and MusicToUse is entitled to seek possible infringements at stop by obtaining necessary licensing.

MusicToUse is, if a third party is stipulating liability towards the Producer (or MusicToUse), permitted to terminate the Producer's license without notice. MusicToUse reimburses in that case the license fee paid by the Producer.


THE PRODUCER'S LIABILITY

Terminal breach of one ore several of the conditions of this Agreement from The Producer entitles MusicToUse to terminate this Agreement, if The Producer not remedy the terminal breach within 14 days after reception of a claim. At terminating from MusicToUse, the Producer must seize each and any exploitation of the Works to stop immediately.

The Producer is liable according to Danish law and case law.

If The Producer undertakes bankrupts, liquidation or other similar insolvency procedure, that is considered as terminal breach.


GENERAL PROVISIONS

This Agreement is not assignable by the Producer without MusicToUse's prior written consent. See about the Producer's production for third parties in the section Registration – the Producer's identity and information above.

MusicToUse may assign this Agreement in it's whole or partially to any third party without the Producer's prior consent.

This Agreement will be governed under the laws of Denmark. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

Any and all disputes arising out of, under or in connection with this Agreement, shall be finally settled under the Courts of Denmark with MusicToUse's homecourt as venue.

NÅR DU HAR KLIKKET PÅ KNAPPEN "JEG ACCEPTERER" NEDENFOR ER AFTALEN JURIDISK BINDENDE FOR PRODUCENTEN, OG DU INDESTÅR FOR AT VÆRE BEMYNDIGET TIL AT KUNNE INDGÅ JURIDISK BINDENDE AFTALER FOR PRODUCENTEN.

DENNE LICENSAFTALE KAN KUN INDGÅS AF ERHVERVSDRIVENDE SOM LED I UDØVELSEN AF DERES ERHVERV– MUSICTOUSE INDGÅR IKKE LICENSAFTALE MED FORBRUGERE.


AFTALENS OMFANG

Nærværende licensaftale (herefter "Aftalen") fastsætter

  • betingelserne for Producentens adgang til de musikalske værker/indspilninger (herefter "Værker"), som udbydes på www.musictouse.com (herefter "Websitet"),

  • betingelserne for erhvervelse af en "Basic Licens", en "Premium Licens" eller en "Exclusive licens" til et Værk, og

  • de nærmere licensvilkår for udnyttelse af Værket i audiovisuelle produktioner (herefter "AV-produktioner") og i radioreklamer.


REGISTRERING – PRODUCENTENS IDENTITET OG OPLYSNINGER

For at få adgang til de Værker, som udbydes på Websitet, skal Producenten udfylde registreringsformular, se http://musictouse.com/signup/.

Producenten skal afgive alle oplysninger/foretage alle registreringer, som Forlaget efterspørger, og oplysningerne/registreringerne skal være korrekte, præcise og fyldestgørende. Finder Forlaget, at Producentens registreringer er upræcise, ufyldestgørende eller kan være ukorrekte, vil Forlaget kontakte Producenten for ændringer eller præciseringer. Opnås der ikke tilfredsstilende registreringer, vil Forlaget afvise at give Producenten adgang til Værkerne.

Er den udfyldte registreringsformular tilfredsstillende, giver Forlaget Producenten adgang til

   1) at downloade et eller flere Værker fra Websitet til brug for Producentens vurdering af, hvorvidt Producenten ønsker at udnytte dem, jf. herom i afsnittet Trial-licens

   2) at købe, jf. herom i afsnittet Ordreafgivelse og betaling, en "Basic Licens", "Premium Licens" eller (for så vidt angår særligt markerede Værker) en "Exclusive Licens" til at udnytte et Værk,

   3) at foretage rapportering af udnyttelsen af det licenserede Værk på Websitets Reporting form

Fremstiller Producenten AV-produktionen/radioreklamespots til brug for erhvervsdrivende tredjemand (herefter Producentens "Kunde"), skal Producenten afgive nærmere oplysninger om Kunden i forbindelse med licenskøbet. Producenten opnår herefter tilladelse til at synkronisere/anvende det pågældende Værk i Kundens AV-produktion/radioreklamespot, men forbliver ansvarlig for overholdelsen af alle licensvilkår, herunder kravet om rapportering. Producenten kan ikke udnytte en licens, som Producenten har erhvervet til brug for en Kunde til egne eller andre Kunders AV-produktioner og/eller radioreklamespot.


TRIAL-LICENS

Registrerede Producenter kan – udover at lytte til de Værker, som udbydes (streames) på Websitet – downloade et Værk (eller flere Værker) på "triail-licens". Ved trial-licens forstås, at Producenten får ret til at anvende det downloadede Værk internt i Producentens virksomhed til lytning, præliminær tilpasning og vurdering af, hvorvidt Producenten ønsker at synkronisere Værket (dvs. sammenstille det med levende billeder) i AV-produktionen eller anvende Værket i et radioreklamespot.

Trial-licensen giver kun Producenten adgang til intern lytning og præliminær tilpasning med henblik på Producentens beslutning om, hvorvidt Værket ønskes udnyttet eller ej. Når Producenten har truffet sit valg, skal Producenten enten erhverve en licens til Værket, eller slette Værket og enhver præliminær tilpasset version heraf fra Producentens system.


ORDREAFGIVELSE OG BETALING

Ved Producentens køb af en Basic Licens en Premium Licens eller en Exclusive Licens betaler Producenten den pris, som er anført i Websitets prisliste, jf. "Prices" i Websitets topmenu.

Forlaget sender ved ethvert licenskøb en ordrebekræftelse til Producentens e-mail adresse. Af ordrebekræftelsen fremgår oplysninger om Værk/Værker, licenstype, pris mv.

Producentens licensbetaling bliver omgående trukket på Producentens bankkonto via det anvendte kredit- eller betalingskort.

Producenten kan betale med følgende betalings- og kreditkort:

Dankort, Visa electron, Visa, Mastercard, Maestro, JCB, American Express.

Når betalingstransaktionen er gennemført, har Producenten erhvervet de rettigheder, som fremgår af nedenstående afsnit om Licenser og vilkår.


LICENSER OG LICENSVILKÅR

Generelle vilkår
For alle licenser gælder, at licensbetalingen ikke dækker de nedenfor angivne tilladelser til at udnytte Værket, som Producenten skal indhente fra NCB eller, hvis Producenten er hjemmehørende uden for Norden, fra den til NCB svarende forvaltningsorganisation (BIEM-selskab) i det pågældende land:

  • tilladelse til (betaling for) at synkronisere Værket i AV-produktioner produceret på enterprise vilkår til visning på TV

  • tilladelse til (betaling for) at synkronisere Værket i AV-produktioner til salg/udleje til forbrugere på videogram (VHS, DVD, Blu-Ray etc.)

  • tilladelse til (betaling for) at overføre AV-produktioner som har været udnyttet til andet (eksempelvis visning på tv) til videomaster med henblik på eksemplarfremstilling og distribution til forbrugere på videogram (DVD, VHS, Blu-Ray etc.)

  • tilladelse til (betaling for) eksemplarfremstilling og distribution af AV-produktioner på videogram og/eller som digitalt download via Internettet

Endvidere gælder for alle licenser, at licensbetalingen ikke dækker tilladelse til (betaling for) offentlig fremførelse (herunder streaming på websites) af AV-produktionerne og/eller radioreklamespots, idet sådan kræver tilladelse fra/betaling til KODA i overensstemmelse med KODA's til enhver tid fastsatte regler og tariffer. Sker den offentlige fremførelse af en AV-produktion eller radioreklamespot i lande uden for Danmark, indkasseres vederlaget af den til KODA svarende forvaltningsorganisation i fremførelseslandet.

Endvidere gælder for alle licenser, at Værkerne ikke må ændres eller gøres tilgængelige for almenheden på en måde eller i en sammenhæng, som er krænkende for Ophavsmandens kunstneriske anseelse eller egenart. Producenten skal altid indhente særskilt tilladelse til synkronisering i eksempelvis partipolitiske, religiøse eller pornografiske AV-produktioner. Måtte en AV-producent rette henvendelse til Forlaget derom, søger Forlaget at indhente Ophavsmandens særskilte samtykke til synkroniseringen.

Endelig gælder for alle licenser, at Producenten er forpligtet til at foretage rapportering på Websitet, som det anvises på Websitets brugerinterface så snart Producenten har synkroniseret Værket i en konkret AV-produktion eller i anvendt Værket i en konkret Audio-only-produktion.

Producentens rapportering på Websitet fritager ikke Producenten for opfyldelse af krav om rapportering / cuesheets til KODA/NCB eller tilsvarende forvaltningsorganisationer i udlandet.

Producenten har, uanset hvilken licens Producenten har erhvervet, ret til at ændre Værkets længde, tempo og pitch, ligesom Producenten kan re-mixe, loope eller på andre måder tilpasse Værket til AV-produktionen/Audio-only-produktionen. Producentens tilpasning af Værket medfører ikke, at Producenten erhverver rettigheder til det tilpassede Værk, udover de som fremgår af licensen.


Basic License
En Basic License til et Værk giver Producenten en ikke-eksklusiv og uoverdragelig ret til at synkronisere Værket i et ubegrænset antal af Producentens AV-produktioner af følgende typer:

  • Undervisningsprogrammer til brug for undervisning på uddannelsesinstitutioner.

  • Virksomhedsprogrammer, dvs. programmer der portrætterer en virksomhed eller organisation, til brug internt i virksomheden og/eller til offentlig fremførelse på messer o. lign. Et virksomhedsprogram må ikke omhandle om specifikke produkter eller tjenesteydelser, idet sådanne programmer anses som reklamefilm.

  • Web-produktioner, dvs. programmer til visning (streaming) på Producentens website(s). Web-produktioner må ikke omhandle specifikke produkter eller tjenesteydelser, idet sådanne produktioner anses som reklamefilm.

  • Kort- og dokumentarfilm og teasers/trailers til promotion deraf.

  • TV-serier og underholdningsprogrammer og teasers/trailers til promotion deraf.

Skal en AV-produktion produceret på entreprisevilkår for en dansk tv-station, udsendes i tv og/eller udbydes til salg til forbrugere på videogram (VHS, DVD, Blu-Ray etc.), er Producenten forpligtet til at anmelde AV-produktionen til NCB og betale det af NCB fastsatte synkroniseringsvederlag.

Skal en AV-produktion af en af ovenstående typer fremstilles i mere end et eller enkelte eksemplarer, skal Producenten anmelde AV-produktionen til NCB og betale/forpligte distributøren til at betale det af NCB fastsatte kopivederlag pr. eksemplar.

Licensperioden er 12 måneder, dvs. at licensen dækker alle de synkroniseringer af Værket i Producentens AV-produktioner, som foretages inden der er forløbet 12 måneder efter licenserhvervelsen, jf. herom i "ordreafgivelse og betaling". Med udløbet af licensperioden bortfalder Producentens ret til at synkronisere Værket, hvorimod Producenten er berettiget til at udnytte de AV-produktioner, hvori Værket er synkroniseret uden tidsmæssige eller geografiske begrænsninger – forudsat betaling til KODA/NCB i overensstemmelse med det i afsnittet "generelle vilkår" anførte.

En Basic License giver ikke Producenten ret til at anvende Værket i radioreklamespots.


Premium License
En Premium Licence til et Værk giver Producenten en ikke-eksklusiv og uoverdragelig ret til at synkronisere Værket i et ubegrænset antal af de typer AV-produktioner som omfattes af en Basic Licens + i et ubegrænset antal AV-produktioner af følgende typer:

  • Reklamefilm i TV og på internet

  • Reklamefilm i Biografen

  • Reklamefilm som AV-produktioner indlejret i computerspil (InGame) og i spillekonsollers lukkede netværk (Fabrikant/konsolafhængige netværk) og til MMS-netværk.

Producenten er derudover berettiget til at anvende Værket til radioreklamespots.

Skal en at de typer AV-produktioner, som dækkes af Basic Licens, produceret på entreprisevilkår for en dansk tv-station, udsendes i tv, og/eller udbydes til salg til forbrugere på videogram (VHS, DVD, Blu-Ray etc.), skal Producenten anmelde AV-produktionen til NCB og betale det af NCB fastsatte synkroniseringsvederlag.

Skal en AV-produktion fremstilles i mere end et eller enkelte eksemplarer, skal Producenten anmelde AV-produktionen til NCB og betale det af NCB fastsatte kopivederlag pr. eksemplar.

Producenten kan ALTERNATIVT vælge at anvende Premium Licensen til at synkronisere Værket i een spillefilm til visning i biografer. I så fald omfatter licensen tillige ret til at synkronisere Værket i teasers, trailers, behind-the-scenes etc. til brug for promotion/markedsføring af spillefilmen

Med udløbet af licensperioden bortfalder Producentens ret til at synkronisere Værket, hvorimod Producenten er berettiget til at udnytte de AV-produktioner, hvori Værket er synkroniseret, uden tidsmæssige eller geografiske begrænsninger – forudsat betaling til KODA/NCB i overensstemmelse med det i afsnittet Generelle vilkår anførte.


Exclusive Licence
Producenten kan erhverve en Exclusive License for de særlige Værker, som er særligt markeret på Websitet.

En Exclusive Licence giver Producenten en eksklusiv og uoverdragelig ret til at udnytte Værket til synkronisering i et ubegrænset antal af AV-produktioner, som omfattes af en Basic License og Premium License.

En Exclusive License indebærer, at Forlaget ikke er berettiget til at udbyde Værket til andre producenter i licensperioden.

Licensperioden er 24 måneder, dvs. at licensen dækker alle synkroniseringer af Værket i Producentens AV-produktioner, som foretages inden der er forløbet 24 måneder efter licenserhvervelsen, jf. herom i "ordreafgivelse og betaling". Med udløbet af licensperioden bortfalder Producentens eksklusive ret til at synkronisere Værket, hvorimod Producenten er berettiget til at udnytte de AV-produktioner, hvori Værket er synkroniseret, uden tidsmæssige eller geografiske begrænsninger – forudsat betaling til KODA/NCB i overensstemmelse med det i afsnittet "generelle vilkår" anførte.


OPGRADERING AF ALLEREDE ERHVERVEDE LICENSER

En Basic License eller en Premium License kan, efter nærmere særskilt aftale med Forlaget, opgraderes til en højere/dyrere licens for den resterende del af licensperioden. Opgradering til Exclusive License forudsætter dog, at Værket er særligt markeret Websitet.

Ved opgradering betaler Producenten betaler forskellen mellem prisen for den købte og den opgraderede licens.

Forlaget indestår ikke for at det er konkret muligt at opgradere et bestemt Værk, og forbeholder at det kan være umuligt, eller at Forlaget kan nægte accept af en opgraderingsanmodning i visse tilfælde.

KREDITERING
Producenten forpligter sig til at kreditere Værkets ophavsmand/udøvende kunstnere i alle AV-produktioner/ Audio-only-produktioner overensstemmelse med god skik.

Krediteringen skal lyde: "musictouse.com – Ophavsmand/Ophavsmænd"


FORLAGET INDESTÅELSE

For alle licenser gælder, at Forlaget indestår for, at det licenserede Værk ikke krænker tredjemands værk/indspilning.

Måtte nogen rejse krav mod Producenten med påstand om, at Producentens udnyttelse af Værket krænker af tredjemands værk/indspilning eller tredjemands bedre ret til Værket, er Forlaget erstatningsansvarlig over for Producenten efter dansk rets almindelige erstatningsregler (dog ikke for indirekte tab eller følgeskader), som fastslået ved endelig upåankelig dom.

Producenten er forpligtet at oplyse Forlaget om ethvert erstatningskrav eller andet krav, som måtte blive rejst mod Producenten i anledning af Producentens udnyttelse af Værket.

Forlaget er, dersom tredjemand rejser krav mod Producenten (eller Forlaget), berettiget til at bringe Producentens licens til ophør uden varsel. Forlaget refunderer i så fald den af Producenten erlagte licensbetaling.


PRODUCENTENS MISLIGHOLDELSE

Væsentlig misligholdelse af et eller flere vilkår i den af Producenten erhvervet licens, berettiger Forlaget til at hæve denne Aftale/licensen, hvis ikke Producenten bringer misligholdelsen til ophør inden 14 dage efter modtagelse af skriftligt påkrav derom. Ophæver Forlaget licensen/Aftalen som væsentlig misligholdt, bortfalder Producenten ret til fremover at synkronisere/anvende Værket.

Producentens konkurs, likvidation, tvangsakkord eller anden insolvensretlig behandling, betragtes som væsentlig misligholdelse af licensen/denne Aftale.


ØVRIGE BESTEMMELSER

Producenten er uberettiget til at overdrage denne Aftale/den af Producenten erhvervede licens til tredjemand. Se om Producentens produktion for tredjemand i afsnittet "Registrering – producentens identitet og oplysninger.

Forlaget er berettiget til at overdrage denne Aftale helt eller delvis til tredjemand.

Aftalen er undergivet dansk ret og udtrykkeligt undtaget fra "United Nations Convention on Contracts for the International Sale of Goods (CISG)".

Enhver tvist vedrørende til denne Aftale skal afgøres af de almindelige domstole i Danmark med Forlagets hjemting for valgt værneting.
